Do all officeholders need to reside in Australia?

When registering a company in Australia, it is a legal requirement under the Corporations Act 2001 (Cth) to have at least one director that ordinarily resides in Australia.

Proprietary companies

At least one director of a proprietary company must live in Australia. If the propriety company has a secretary, they must also live in Australia.

Public companies

A public company must have at least three directors, two of which must live in Australia. A public company is also required to have a secretary who must live in Australia.
